1. Acceptance of Terms

Welcome to StackOwn ("we," "us," or "our"). By accessing or using our AI inference Software-as-a-Service platform (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use the Service.

2. Service Description

Our Service provides access to AI inference capabilities through various models. The Service is offered under different subscription packages ("Packages"). Each Package specifies the limits on usage, including but not limited to the available model APIs, the number of inference requests, processing time, and other features. Details of each Package are provided on our pricing page or your subscription agreement.

3. User Accounts

To access certain features of the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Responsibilities and Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:

• Use the Service in any way that violates any applicable local, national, or international law or regulation.
• Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Service or our AI models.
• Use the Service to develop a competing product or service.
• Transmit any data or material that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
• Upload or transmit viruses, worms, or any other malicious code.
• Exceed the usage limits of your subscribed Package.

5. Fees, Payment, and Packages

The Service is provided on a subscription basis according to the selected Package. Fees for each Package are specified on our website or in your service agreement. All fees are non-refundable except as required by law or as otherwise stated in your agreement. We reserve the right to change our Package fees upon reasonable notice. Usage exceeding the limits of your Package may result in additional charges or suspension/termination of service.

6. Intellectual Property Rights

Our IP: We retain all right, title, and interest in and to the Service, including all underlying AI models, software, technology, and documentation. These Terms do not grant you any rights to our trademarks or other intellectual property.

Your Data: You retain all right, title, and interest in and to the data you submit to the Service ("User Data"). You grant us a worldwide, non-exclusive, royalty-free license to use, process, and transmit User Data solely to the extent necessary to provide and improve the Service. We will not use User Data to train our general AI models unless explicitly agreed upon.

Output Data: The output generated by the Service based on your User Data ("Output Data") is owned by you, subject to your compliance with these Terms and any limitations of the underlying AI models (e.g., third-party model licenses). You are responsible for ensuring that your use of Output Data complies with all applicable laws and does not infringe on any third-party rights.

7. Data Privacy and Security

We are committed to protecting your privacy and securing your data. Our data collection, use, and security practices are described in our Privacy Policy, which is incorporated by reference into these Terms.

8. Confidentiality

"Confidential Information" includes all non-public information disclosed by one party to the other, designated as confidential or reasonably understood to be confidential. Each party agrees to protect the other's Confidential Information with the same degree of care it uses for its own similar information, but no less than reasonable care. This obligation does not apply to information that is publicly known, rightfully received from a third party without confidentiality restrictions, or independently developed.

9. Service Availability and Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, NOR THAT THE OUTPUTS GENERATED WILL BE ACCURATE OR COMPLETE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless StackOwn and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, or your violation of these Terms.

12. Term and Termination

These Terms will remain in full force and effect while you use the Service. We may suspend or terminate your access to the Service at any time, for any reason, including for any breach of these Terms. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability).

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
